  • LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
  • LOSS OF USE OF THE SITE OR SERVICES;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE.

IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATED TO THESE TERMS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ROUND TABLE PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

The limitations of liability set forth in this section reflect a reasonable allocation of risk between the parties and form an essential basis of the bargain between you and Round Table Pizza. These limitations shall apply regardless of the legal theory under which damages are sought, whether in contract, tort (including negligence), strict liability, statute, or otherwise, and even if we have been advised of the possibility of such damages.

Certain states, including New Jersey and Massachusetts, do not allow the limitation of consequential or incidental damages, so the above limitations may not apply to residents of those states. In such cases, our liability shall be limited to the fullest extent permitted by applicable law.


8. Indemnification

You agree to defend, indemnify, and hold harmless Round Table Pizza and its respective owners, officers, directors, employees, agents, licensors, suppliers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) that any Indemnified Party may incur as a result of or arising from:

You hereby waive any objection to the laying of venue in such courts and any objection that such courts constitute an inconvenient forum.

Our services are operated from the United States. We make no representation that the Site or its content is appropriate for use in other locations. EXCEPT FOR CLAIMS THAT MAY BE BROUGHT IN SMALL CLAIMS COURT AND INJUNCTIVE OR EQUITABLE RELIEF TO PROTECT INTELLECTUAL PROPERTY RIGHTS, ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, OR VALIDITY THEREOF SHALL BE FINALLY RESOLVED BY BINDING ARBITRATION.

The arbitration shall be conducted by a single arbitrator in accordance with the Consumer Arbitration Rules of the American Arbitration Association (AAA), which are available at www.adr.org. The arbitration shall be conducted in English and, unless both parties agree otherwise, shall take place in the United States. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

10.3 Class Action Waiver

YOU AND ROUND TABLE PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.

10.4 Jury Trial Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, AND TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND ROUND TABLE PIZZA EACH WAIVE THE RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS.

10.5 Time Limitation

Any claim arising from or relating to these Terms or our services must be filed within one (1) year after the cause of action arises, or such claim shall be permanently barred. Some jurisdictions may not allow limitation of time for certain types of claims; in such cases, this provision shall apply to the extent permitted by law.
